1. Acceptance
By accessing tenacy.ng you agree to these terms. If you do not agree, please do not use the website. These terms are between you and Tenacy Technologies ("Tenacy", "we", "us").
2. Our services
The website describes Tenacy, our products and the services we offer. Information on the website is for general purposes and does not form an offer. Any engagement for services is governed by a separate written proposal, statement of work or agreement, which takes precedence over these terms where they conflict.
3. Acceptable use
You agree not to:
- Use the website in a way that breaks any law or regulation.
- Attempt to gain unauthorised access to our systems, except as permitted under our security disclosure policy.
- Interfere with the website's operation, including through automated scraping at a rate that degrades service.
- Upload or transmit malicious code.
- Impersonate Tenacy or misrepresent your affiliation with us.
4. Intellectual property
The Tenacy name, logo, website design, text and graphics are owned by Tenacy or our licensors and are protected by law. You may view and share pages for personal, non-commercial purposes. You may not reuse our branding without written permission. Product names belong to their respective owners.
5. Client engagements
Unless your agreement with us says otherwise:
- Scope, timelines and fees are set out in a written proposal accepted by both parties.
- Invoices are payable within 14 days. We may pause work on overdue accounts.
- On full payment, you own the deliverables created specifically for you. Open-source components remain under their own licences, and our pre-existing tools and libraries are licensed to you for use in the project.
- We may reference the project in our portfolio unless you ask us not to.
- Both parties keep each other's confidential information private.
6. Tenacy products
Products such as Librarie may have their own terms of use and privacy notices. Where they do, those terms apply to your use of the product in addition to these terms.
7. Third-party links
The website links to other sites, including client websites and partners. We are not responsible for the content, policies or practices of sites we do not operate.
8. Disclaimers
The website is provided "as is" and "as available". To the extent permitted by law, we make no warranties that it will be uninterrupted, error-free or free of harmful components, and we disclaim all implied warranties.
9. Limitation of liability
To the extent permitted by law, Tenacy is not liable for any indirect, incidental, special or consequential loss arising from your use of the website. Our total liability for any claim relating to the website is limited to NGN 100,000. Liability under client agreements is governed by those agreements. Nothing in these terms limits liability that cannot be limited by law.
10. Indemnity
You agree to indemnify Tenacy against claims, losses and expenses arising from your breach of these terms or misuse of the website.
11. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute in good faith. If that fails, disputes are subject to the jurisdiction of the courts of Nigeria.
12. Changes
We may update these terms from time to time. Continued use of the website after changes means you accept the updated terms.
